Terms of Service

1. Acceptance of Terms

By accessing and using the services of Blue Line Intelligence Corp ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Description

Blue Line Intelligence Corp provides professional software development services, including but not limited to:

  • Custom web application development
  • API development and integration
  • Software security audits and consulting
  • Code quality assessment and improvement
  • Technical support and maintenance
  • Cloud infrastructure and deployment services

3. Service Agreement and Scope

3.1 Project Proposals

All projects begin with a detailed proposal outlining scope, timeline, deliverables, and pricing. Work commences only upon signed agreement and initial payment.

3.2 Scope Changes

Changes to project scope must be documented in writing and may result in adjusted timelines and costs. Additional work outside the original scope will be billed separately.

3.3 Client Responsibilities

Clients are responsible for providing:

  • Clear project requirements and specifications
  • Timely feedback and approvals
  • Access to necessary systems, accounts, and resources
  • Accurate information and materials

4. Payment Terms

4.1 Pricing and Invoicing

Project costs are outlined in individual service agreements. Invoices are issued according to agreed payment schedules and are due within 30 days of receipt.

4.2 Late Payments

Late payments may incur interest charges of 1.5% per month. Services may be suspended for accounts overdue by more than 60 days.

4.3 Refunds

Refunds are handled on a case-by-case basis. Completed work and deliverables are generally non-refundable.

5. Intellectual Property

5.1 Client Ownership

Upon full payment, clients receive ownership of custom code and deliverables specifically created for their project, excluding pre-existing Company intellectual property.

5.2 Company Rights

Blue Line Intelligence Corp retains rights to:

  • General methodologies, processes, and know-how
  • Pre-existing code libraries and frameworks
  • Tools and utilities developed for internal use

5.3 Third-Party Components

Projects may include third-party libraries and components subject to their respective licenses. Clients are responsible for compliance with such licenses.

6. Confidentiality

We maintain strict confidentiality regarding client information, project details, and proprietary data. Both parties agree to protect confidential information and use it solely for project purposes.

7. Warranties and Disclaimers

7.1 Service Warranties

We warrant that services will be performed with professional skill and care consistent with industry standards. Software will function substantially as specified for 90 days post-delivery.

7.2 Disclaimers

EXCEPT AS EXPRESSLY STATED, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

8. Limitation of Liability

IN NO EVENT SHALL BLUE LINE INTELLIGENCE CORP BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES
  • DAMAGES EXCEEDING THE TOTAL AMOUNT PAID FOR SERVICES

9. Data Security and Privacy

We implement industry-standard security measures to protect client data. However, no system is completely secure, and clients acknowledge the inherent risks of data transmission and storage.

10. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, or technology failures.

11. Termination

11.1 Termination Rights

Either party may terminate services with 30 days written notice. Immediate termination is permitted for material breach or non-payment.

11.2 Post-Termination

Upon termination, clients receive deliverables completed to date upon payment of outstanding invoices. Confidentiality obligations survive termination.

12. Dispute Resolution

Disputes will be resolved through good faith negotiation. If unsuccessful, disputes shall be settled through binding arbitration under the laws of Canada.

13. Compliance and Legal

Clients represent that their use of our services complies with applicable laws and regulations. We reserve the right to refuse service for illegal or unethical purposes.

14. Modifications

These terms may be updated periodically. Continued use of services constitutes acceptance of modified terms. Material changes will be communicated in advance.

15. Governing Law

These terms are governed by the laws of Canada. Any legal proceedings shall be conducted in Canadian courts with appropriate jurisdiction.

16. Severability

If any provision of these terms is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.
